Terms of Service

Platform Services Include:

• Searchable Directory: Comprehensive database of Romanian companies, products, brands, and services
• Company Profiles: Detailed business profiles showcasing capabilities, certifications, and export experience
• Product Catalogs: Extensive listings of products and services available from Romanian suppliers
• Lead Generation: Connection tools enabling buyers to contact suppliers directly
• Business Matching: Smart algorithms connecting buyers with suitable Romanian suppliers
• Market Intelligence: Industry insights and market information for informed sourcing decisions

3.1 Eligibility Requirements

To use Romanian Supplier, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts under Romanian law
• Represent a legitimate business entity (company, organization, or sole proprietorship)
• Be acting in a professional or commercial capacity (B2B only - not as a consumer)
• Have the authority to bind your organization to these Terms
• Not be prohibited from using our services under Romanian or applicable international law

3.2 Account Registration

Account Types:

• Buyer Accounts (FREE): For international buyers, purchasing managers, procurement professionals, importers, and businesses seeking Romanian suppliers. Full platform access at no cost.
• Supplier/Merchant Accounts: For Romanian manufacturers, suppliers, exporters, and service providers wishing to showcase their business. Available in Free (basic) and Premium subscription tiers.

Registration Requirements:

• You must provide accurate, complete, and current information during registration
• You must provide valid business contact information (company name, email, phone number)
• For supplier accounts, you must provide company registration details and VAT information (where applicable)
• You must keep your account information up to date at all times
• One person or legal entity may not create multiple accounts without our prior written consent

3.3 Account Security

• You are solely responsible for maintaining the confidentiality of your account credentials (username and password)
• You are responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized access or security breach at contact@romanian-supplier.com
• We will not be liable for any loss or damage arising from your failure to comply with account security obligations
• You must not share your account credentials with third parties or allow others to access your account

4.1 Supplier Subscription Plans

Romanian suppliers can choose from multiple subscription tiers with varying features and visibility levels. Current plans and pricing are detailed on our Pricing page.

• Free Plan: Basic company listing with limited visibility and features
• Premium Plans: Enhanced visibility, priority placement, unlimited products, advanced analytics, and additional marketing tools
• Custom Enterprise: Tailored solutions for large organizations with specific requirements

4.2 Payment Terms

• Billing Cycle: Subscriptions are billed monthly or annually in advance, as selected during signup
• Payment Method: All payments are processed securely through Stripe, our third-party payment processor. We accept major credit cards and debit cards
• Currency: All fees are denominated and charged in EUR (Euro) or RON (Romanian Leu) as specified
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• Payment Authorization: By providing payment information, you authorize us to charge the applicable fees to your payment method
• Failed Payments: If payment fails, we will attempt to process payment again. Continued payment failure may result in service suspension or account downgrade

4.3 Price Changes and Modifications

We reserve the right to modify subscription pricing and plan features. Price changes will be communicated as follows:

• At least 30 days advance notice via email to your registered email address
• Prominent notice on our platform and website
• Existing subscribers will be grandfathered at their current rate until the end of their current billing period
• New prices will apply upon renewal after the notice period

4.4 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period
• No Partial Refunds: Fees are non-refundable except as required by applicable Romanian consumer protection law or as stated in this section
• Refund Policy: Refunds may be considered on a case-by-case basis within 14 days of initial purchase if no services have been rendered, in accordance with Romanian consumer protection regulations (where applicable)
• Downgrade: If you downgrade to a lower-tier plan, the change takes effect at the next billing cycle

5.1 User Content Ownership and License

• Your Ownership: You retain all ownership rights to content you submit, post, or display on the platform ("User Content"), including company information, product descriptions, images, logos, and communications
• License Grant: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and promoting the platform
• Representations and Warranties: You represent and warrant that:
  • You own or have obtained all necessary rights, licenses, and permissions to your User Content
  • Your User Content does not infringe any intellectual property rights, proprietary rights, or privacy rights of third parties
  • Your User Content is accurate, complete, and not misleading or fraudulent
  • Your User Content complies with all applicable laws and regulations

5.2 Content Accuracy and Responsibility

As a user, you are solely responsible for:

• The accuracy, completeness, and legality of all information you provide (company details, product specifications, pricing, certifications)
• Keeping your company profile, product listings, and contact information up to date
• Ensuring compliance with Romanian product standards, labeling requirements, and export regulations
• Honoring any commitments, representations, or warranties made to other users
• All interactions, negotiations, and transactions with other platform users

6.1 Platform Ownership

The Romanian Supplier platform, including but not limited to:

• Website design, layout, graphics, and user interface
• Software code, algorithms, and technical infrastructure
• Platform features, functionality, and tools
• Romanian Supplier brand name, logo, and trademarks
• Original content created by us (text, images, videos)
• Database compilation and organization

is owned by SC FABRICATINRO SRL and protected by Romanian copyright law, European Union intellectual property directives, international copyright treaties, trademark law, and other applicable intellectual property laws.

6.2 Restrictions on Use

You may not, without our express written permission:

• Copy, reproduce, modify, adapt, or create derivative works of the platform or its content
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the platform
• Use our trademarks, logos, or branding in any manner or for any purpose
• Frame, mirror, or republish any portion of the platform on another website or service
• Remove, obscure, or alter any copyright notices, trademarks, or proprietary rights notices

6.3 DMCA and Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, please contact us at contact@romanian-supplier.comwith detailed information including proof of ownership, location of infringing content, and your contact details.

7.1 Termination by You

• You may terminate your account at any time through your account settings
• You may also request account deletion by contacting us at contact@romanian-supplier.com
• Upon termination, your access to paid features will continue until the end of your current billing period
• Termination does not entitle you to refunds for unused subscription time (except as required by law)

7.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account and access to the platform, immediately and without prior notice or liability, for any reason including but not limited to:

• Breach of these Terms of Service or our Privacy Policy
• Fraudulent, illegal, or unauthorized activities
• Providing false or misleading information
• Violation of intellectual property rights or other users' rights
• Abusive, threatening, or inappropriate conduct toward other users or our staff
• Non-payment of subscription fees or chargebacks
• Extended periods of account inactivity (12+ months)
• Court orders, legal requirements, or regulatory demands
• Suspected security threats or data breaches originating from your account

7.3 Effects of Termination

Upon termination of your account:

• Your right to access and use the platform immediately ceases
• Your company profile, product listings, and associated content may be removed from public view
• We may retain certain data as required by Romanian law or for legitimate business purposes (see Privacy Policy)
• Outstanding payment obligations remain due and payable
• Provisions of these Terms that by their nature should survive (e.g., limitations of liability, indemnification, governing law) will continue to apply

11.1 Governing Law

These Terms of Service and your use of the Romanian Supplier platform shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles. This includes but is not limited to:

• Romanian Civil Code (Law 287/2009)
• Romanian Commercial Law
• Romanian Consumer Protection Law (where applicable)
• Applicable European Union regulations and directives

11.2 Jurisdiction and Venue

Any disputes, claims, or controversies arising out of or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Iași, Romania.

By using the platform, you irrevocably consent to the exclusive jurisdiction and venue of the Romanian courts located in Iași for the resolution of any disputes. However, this does not affect your statutory rights to bring proceedings in your country of residence if you qualify as a consumer under EU regulations.

11.3 Dispute Resolution Process

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes as follows:

1. Good Faith Negotiation: Contact us at contact@romanian-supplier.com to attempt resolution through good faith negotiations (30 days)
2. Mediation (Optional): If negotiations fail, parties may agree to non-binding mediation under Romanian mediation procedures
3. Litigation: If informal resolution fails, disputes will be resolved through litigation in Iași courts

Notification of Changes:

• Material Changes: For material changes that significantly affect your rights, we will provide at least 30 days advance notice via:
  • Email notification to your registered email address
  • Prominent notice on our platform homepage
  • In-app notification upon login
• Minor Changes: Non-material changes (e.g., clarifications, formatting) may be made without advance notice
• Updated Date: The "Last updated" date at the top of this page will reflect the most recent changes

13.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published on the platform, constitute the entire agreement between you and SC FABRICATINRO SRL regarding your use of the Romanian Supplier platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

13.3 Waiver

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign, transfer, or delegate these Terms and our rights and obligations without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, pandemics, strikes, telecommunications failures, or Internet service provider failures.

13.6 Language

These Terms of Service are drafted in English for international accessibility. In the event of a conflict between the English version and any translation, the Romanian language version shall prevail for purposes of interpretation and enforcement in Romanian courts, as required by Romanian law.

13.7 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, governing law, and dispute resolution.

13.8 Third-Party Beneficiaries

There are no third-party beneficiaries to these Terms. These Terms do not confer any rights or remedies upon any person other than the parties to this Agreement and their respective successors and permitted assigns.
